Evernorth's XRPN listing slips four days to October 12 after an administrative delay

Evernorth now expects its XRP treasury to start trading on Nasdaq as XRPN on October 12, four days later than it guided on October 1. The slip is small, but both dates are still expectations that hinge on customary closing conditions and Nasdaq's listing requirements.

What happened

The open moved further than the close. Under the October 1 plan the merger would have completed one day before the shares traded. Under the new one there are three days between them, a Friday close and a Monday open [16]. Evernorth called the cause administrative. "Due to an administrative delay that is not expected to affect the closing, we now expect to close on Friday, October 9th, with XRPN expected to start trading on Nasdaq on Monday, October 12th," the company wrote on October 6 [12].

Divide the deal's cash by its tokens and the company is projected to start with about 63 cents of gross cash for every XRP it holds, or $300 million divided by 473 million [17], before expenses come out [10]. Part of the token position came in kind, from investors who contributed XRP instead of cash [11]. Crowdfund Insider's report does not include a Class A share count or a split of the $300 million among placements, notes and trust cash. Without those, the number of tokens behind each share cannot be worked out from public figures. We would want both before sizing a position.

The next week can go three ways. The dates hold and the delay was clerical. Another administrative revision moves them again, and Crowdfund Insider notes the dates are framed as expectations that leave room for adjustment [3]. Or a closing condition fails or Nasdaq withholds clearance. The September 30 vote did not by itself complete the deal or guarantee a listing [2], so that third path would put the merger itself in doubt.

We think the first is most likely. The vote is done, the companies said investor participation in the funding stayed intact after it [13], and the trading date moved by four days [15]. The counter-case is that every assurance about the delay comes from Evernorth's own statement, relayed by a single outlet [4]. A second revision that cites any cause other than administration, or a change to the token count or the cash figure before October 9, would prove us wrong.

What to watch

  • Whether Evernorth confirms the Armada II merger closed on Friday, October 9, as it now expects.
  • A Class A share count and a breakdown of the $300 million among placements, convertible notes and trust cash, which together set the XRP behind each share.
  • Any further revision to the dates, and whether it cites a cause other than an administrative delay.
