Seoul says its 2023 sale notice warned JYP that land beside the headquarters site could be rezoned

Seoul Metropolitan Government rejected blame for JYP Entertainment dropping its headquarters on a Gangdong plot bought for 75.5 billion won in 2023. The city's reading of one broad clause in the presale notice would leave buyers of SH land carrying the risk that the plot next door gets rezoned.

What happened

  • SH applied in May last year to reclassify the park beside JYP's plot as mixed-use commercial support land, and the land ministry approved the change on Oct. 24.
  • According to the city, JYP's first formal objection came on April 16, the day after it was granted a building permit.
  • The city says it offered to designate a low-rise zone of five floors or fewer along the section next to JYP's site.
  • JYP told SH on the 6th that it wanted talks on the 13th, then announced the cancellation on the 8th, the city said.

Why it matters

The clause the city relies on says, in full, that "land use plans for the land offered for sale, including surrounding land, may change in line with permit revisions and other factors" [3]. It appeared in the September 2023 presale notice [3]. JYP bid 75.536 billion won under those terms for 10,675 square meters [2], or about 7.08 million won a square meter [15].

A clause that broad covers almost any change to the district. The city calls this particular change "a lawful procedure to secure funding for school facilities" [5], and the ministry's approval supports the lawful part [4]. Whether 7.08 million won a square meter was a price for land facing a park is a separate matter [15]. JYP decided to withdraw after the reclassification [14].

The city's dates support two readings. In the city's version, JYP filed for architectural review on Nov. 11, about two weeks after the revision notice [6], kept going after a Feb. 26 notice offering rezoned site No. 8, and collected its permit on April 15 [7]. JYP's silence over that stretch is the city's main evidence [8]. The second reading uses the same dates. A company that secures its permit first gives up nothing by objecting afterwards. JYP's objection came about seven weeks after site No. 8 went on offer [17], once the rezoned land was actually up for sale.

In my view the city has the stronger paper record, because the notice, the ministry approval and JYP's own filings all point the same way [3][4][7]. The counter-case is that a warning broad enough to cover everything tells a buyer little about a risk the seller's side controls. That case would win if JYP produced a written assurance from SH, made before the 2023 bid, that the park would stay a park. The report does not include a response from JYP to the statement the city released on the 9th [13].

The city said the episode "has created the impression that it was SH's fault, but that is not the case" [13]. "Just as brand matters to JYP, reputation and trust matter to the Seoul Metropolitan Government as a city administration," it said [12]. It also asked JYP "to refrain from misleading public opinion and to clarify its position" [13].

What to watch

  • Whether JYP answers the city's request to clarify its position with its own account of why it cancelled before the talks it had sought for the 13th.
  • Whether SH goes ahead with the supply notice for rezoned site No. 8, the sale it had offered to suspend during talks.
  • Whether JYP keeps, resells or tries to hand back the 10,675-square-meter plot it bid 75.536 billion won for.
