SoftBank weighs buying Allied Universal, the largest US security services firm, at about $18 billion

SoftBank is considering buying Allied Universal in a deal that could value the company at about $18 billion, Bloomberg News reported. The report frames it as a complement to Masayoshi Son's push into AI-powered robots and the infrastructure behind them.

What happened

  • Allied Universal is the largest security services company in the US and is closely held, according to Bloomberg.
  • Allied provides security staffing for businesses, venues and major events, and has a growing presence in data centers, supporting both development and operation of facilities.
  • According to one person cited in the report, SoftBank would look to replace some Allied staff with robots eventually.
  • Another person cited said humanoid-like security workers will likely take more time.
  • The deliberations are preliminary and no final decisions have been made, including on price.

Why it matters

  • What doesn't add up contradiction Bloomberg's wording is an equity value of as much as $18 billion and CNA's summary says about $18 billion, so the figure could be a ceiling or a midpoint.
  • What it costs cost An equity value counts the shares, so whatever net debt Allied carries would sit on top of the $18 billion SoftBank pays its owners.
  • Who has to decide decision SoftBank has to choose between bidding on the guard business as it stands and paying a premium for a robot plan that the report describes only as eventual.

The data center growth and the robot plan pull in opposite directions. Allied's data center work is growing [9], and if that work is staffed the way its other contracts are, it adds paid guard hours. The robot plan, as one of the people described it, would eventually take some staff out [5]. Both can hold on a long enough timeline (hours rise first, substitution trims them later). But a buyer at $18 billion [1] is paying today for the first half and holding an option on the second.

Robots pay the owner only if the saving stays with the owner, and that depends on whether Allied's clients would keep paying the guard rate for a machine. The reports do not include Allied's contract terms, revenue or earnings, or how SoftBank would pay, so the $18 billion cannot yet be turned into a multiple of anything. SoftBank declined to comment and Allied did not immediately respond to a Reuters request [8]; everything above comes from unnamed people familiar with the matter [1].

The size matters even before the terms do. At $18 billion the valuation is 60% of the planned $30 billion OpenAI investment [11] whose final phase SoftBank completed in October [10]. A purchase that size goes into an operating company with a payroll. That is capital another AI stake would not get.

In our view the robots are the smallest part of what the price buys. The defensible version of the deal, and the only one we can test from here, is the largest US security services company [3] with a growing data center book [9]. The robot plan is an extra option on top. The counter-thesis is that the robots are the point and the guard business is the way in: a buyer who believes that can pay more than the staffing cash flows support. A third outcome is that no offer is ever made.

Two findings would show we are wrong: a data center share of Allied's revenue too small to carry growth, or a final price well above what Allied's earnings support. Either means the premium is for the robot plan.

What to watch

  • Any confirmation from SoftBank or Allied, or a follow-up report with a price, since the deliberations are preliminary and price is undecided.
  • Disclosure of Allied's revenue, earnings and the share that comes from data centers, which would turn the $18 billion into a multiple.
  • Any statement from SoftBank on the timing of robot deployment at Allied sites, given that one source says humanoid-like guards will take longer.
