NVIDIA is licensing the Fusion chiplet, its C2C CPU attach and NVHBM to MediaTek and buying $3.5 billion of its convertible bonds, so the quickest route to a custom accelerator now ends inside an NVIDIA rack.

The component list matters most at the interface level, and that is where the design decision actually sits.
NVIDIA names a Fusion chiplet that attaches a customer XPU to the NVLink scale-up fabric over NVIDIA photonics or electrical interconnects [5]. It names NVLink-C2C for high-bandwidth connection to NVIDIA Rosa CPUs and other compatible processors [6]. It names NVHBM for customised memory, which the release says increases bandwidth and frees silicon area for compute [7]. Those are the three external edges of an accelerator: how it talks to peers, how it talks to a host, how it reaches memory. What is left for the customer is the compute die [16].
The same release supplies two lists that are worth putting side by side. In one, customers rely on NVIDIA and MediaTek for NVLink connectivity, memory architecture, packaging, manufacturing and rack-scale technologies [9]. In the other, customers bring an XPU design to MediaTek and tailor connectivity, memory, packaging, performance and power [11]. Three of the five tailorable items are the same three items being supplied [17]. Tailoring here means parameterising inside someone else's blocks.
The invisible constraint is stated plainly: getting from multi-die silicon to a manufacturable rack requires SerDes, HBM, I/O, scale-up networking, qualification and supply-chain support [8]. Any team that taped out an accelerator and then discovered the rack was the hard part will recognise the pitch, because it is written for them.
"Prevalidated" [4] is a claim about somebody else's integration work, and it only transfers under conditions the release does not enumerate. The packaging flow has to be one MediaTek has already qualified, the memory has to be NVHBM rather than a stack negotiated independently [7], and the scale-up topology has to be NVLink's [5] -- so if your accelerator's advantage comes from a different fabric or a different collective, the prevalidated foundation stops saving you time. The sentence to underline is that platforms will evolve alongside future NVIDIA architectures [10]. Read as a schedule rather than a feature, that couples your generation cadence to NVIDIA's.
The financing carries the least published detail. NVIDIA bought $3.5 billion of convertible bonds issued by MediaTek [3], and the announcement gives no conversion price, coupon or maturity [18]. MediaTek chief executive Rick Tsai said the investment strengthens a collaboration spanning cloud AI infrastructure, local AI computing and automotive [13]. Jensen Huang framed the result as giving customers freedom to create differentiated AI systems at scale [12].
Custom XPU programs exist because large buyers wanted a part they controlled. The route to production now on offer keeps the compute die theirs [2] and moves fabric, host attach, memory architecture, packaging and rack integration into NVIDIA's stack [9]. That trades time-to-rack for a narrower form of independence: the compute die is customer-owned, and everything around it now runs on NVIDIA's stack.

One release, written by the buyer
Every fact that carries weight here — the $3.5 billion, MediaTek's adoption of Fusion, the three-front scope — traces to NVIDIA's own newsroom, and NVIDIA is at once the investor, the licensor and the narrator. That makes this a strong record of intent and a thin one for verification: no MediaTek disclosure, no bond terms, no named customer, and not a single measured figure for the chiplet, the C2C link or NVHBM. The statements worth leaning on are the ones NVIDIA can only be reporting about itself.
A design foundation with no named designer on it
Adoption today is one announcement and one cheque. The Fusion block is offered to hyperscalers, cloud providers and frontier labs, and not one of them is named as taking it; no tape-out, no rack, no ship date. The only silicon actually in customers' hands from this pairing is GB10 inside DGX Spark, which predates the arrangement and is a desktop part rather than the semi-custom AI factory being described.
Prevalidated language, unpopulated platform
Prebuilt, prequalified, system-prevalidated: three words for a product with no disclosed customer, date or bandwidth number. The gap widens where the release's own two lists touch. Customers are told they keep the differentiated compute and may tailor connectivity, memory, packaging, performance and power — but connectivity, memory and packaging are precisely what NVIDIA and MediaTek are supplying. The freedom offered is real; it is freedom inside someone else's rack.
The narrator owns the fabric and the paper
NVIDIA wrote this, sells the interconnect at the centre of it, and now holds $3.5 billion of MediaTek's convertible debt. MediaTek's contribution is a quote thanking NVIDIA for the investment. Every party with knowledge here gains from the custom-XPU market routing through NVLink, and nobody in this reporting has any reason to press on conversion terms, royalty splits, or what happens to a custom accelerator that later wants off the fabric.
Firm on the deal, soft on the consequences
We are on solid ground that the partnership, the bond purchase and the three named technologies are as described — a company reporting its own money and its own product roadmap is rarely wrong about those. Confidence drops sharply past that line: whether the prevalidated path actually shortens anything, who takes it, and what MediaTek's other custom-silicon customers make of an NVLink-shaped default are all unaddressed. The structural readings hold because they come from NVIDIA's own wording, not from guesswork about outcomes.
