Barclays warns a SpaceX merger vote at Tesla gets harder if the announcement slips into late October

Barclays says Tesla and SpaceX could announce a merger before Tesla's annual meeting, which it expects by Dec. 6. Qz reported that broker non-votes, tallied against a proposal, were roughly 11% of outstanding votes at the 2025 meeting.

Tesla holders would own under half at no premium Barclays's all-equity scenario, valuing SpaceX at $2.1 trillion and Tesla at $1.5 trillion; Barclays expects a premium for Tesla holders.

Key figures: at no premium, Tesla holders would own about 42% of the combined company. The combined market value of SpaceX and Tesla is $3.6 trillion. The all-equity exchange ratio is near 0.7.

What happened

  • A note led by analyst Dan Levy went to clients on Wednesday and warned that an announcement delayed into late October or even early November could make approval increasingly difficult.
  • Polymarket bettors put a merger before the end of December at 24%, and Kalshi bettors saw a 52% chance of one before May 2027, according to Benzinga.
  • SpaceX President Gwynne Shotwell declined to rule out a merger with Tesla on June 12, the day SpaceX began trading on the Nasdaq.

Why it matters

  • decision Tesla and SpaceX can announce early enough to run a turnout campaign before Dec. 6, or take Barclays's fallback of an announcement 6 to 12 months out.
  • exposure At no premium, Tesla holders would own about 42% of a $3.6 trillion combined company, and each point of premium is paid by SpaceX holders, who also have to vote.
  • contradiction Cryptobriefing says the companies are reportedly considering an announcement, while the Qz account puts the timing view with Barclays's analysts and quotes only Shotwell for the companies.

Barclays's timing argument rests on turnout. Broker non-votes, which Barclays notes are tallied against a proposal, were roughly 11% of total outstanding votes at Tesla's 2025 meeting [4]. Suppose approval needed a majority of all outstanding votes (the reporting on the note does not state the threshold). Supporters would then have to find 50 points among the 89 that were not broker non-votes, or about 56% of them [23]. Barclays said Tesla would likely work to boost turnout ahead of any SpaceX ballot [5]. We think that is the logic behind the late-October warning [2].

"Need" is stronger than what Barclays wrote. The analysts said a merger could be announced before the meeting, and the Dec. 6 date is their expectation, not a filed one [1]. They also set out a second path: an announcement apart from the meeting, still within 6 to 12 months, so a deal could close during the Trump administration, according to Stocktwits [14]. That leaves at least three outcomes. Tesla announces by October and runs the turnout campaign; Tesla announces later into a harder vote; or nothing is announced this year. Traders lean to the third for the near term. The 24% on Polymarket leaves 76% on no announcement by year-end [19], and cryptobriefing put the figure at 25% by Dec. 31, rising to 61.5% by the end of 2027 [7].

The terms Barclays favors make the vote a pricing problem. In an all-equity purchase of Tesla by SpaceX [11], $1.5 trillion over $2.1 trillion gives an exchange ratio of 0.71 [20]. At a combined $3.6 trillion [21], Tesla holders would own about 42% before any premium [22], and Barclays expects them to get one [12]. Every point of that premium comes out of SpaceX holders' share, and Barclays said SpaceX holders would likely have to vote in favor as well [3]. In our view a premium big enough to help in one vote makes the other harder. Many of the same investors hold both companies, according to Bloomberg [10], so some holders would be paying and receiving the premium at once. Barclays puts Musk's stake in the merged entity at roughly 37% [13].

Not everyone puts a deal near. Wedbush's Dan Ives has put the odds of a deal closing in 2027 at between 80% and 90% [17], while Oppenheimer called a deal plausible but said independence fits Musk's goals better [18]. "There's no question that there are synergies between Tesla and SpaceX in our futures," Shotwell said [15]. Barclays locates the value in vertical integration of the two companies' AI technology, and, according to Stocktwits, calls the Terafab chipmaking project a key catalyst, since separate board processes slow decisions [8]. Cryptobriefing's summary goes further and says the two companies are "reportedly considering" an announcement [9]. The Qz account puts the timing view with Barclays's analysts.

We think the narrower claim holds and the stronger one does not. An announcement before Dec. 6 would ease the vote, in Barclays's telling. Barclays prefers that date, but it also allows 6 to 12 months. The view is wrong if a deal is announced in November and the vote still clears, or if Tesla sets its meeting after Dec. 6. It is also wrong if 2025 was an outlier for broker non-votes, since the figure as reported covers one meeting [4].

What to watch

  • Tesla's proxy filing: whether the meeting date falls on or before Dec. 6 and whether the agenda carries a SpaceX item.
  • Any announcement before late October, the point after which Barclays says approval gets harder.
  • Polymarket's 24% and Kalshi's 52% for a pre-May 2027 deal, which would move if Tesla sets a meeting date or either board comments.
