Supermicro hires Mark Long as CFO after promising in December 2024 to begin the search immediately

Supermicro hired ex-Western Digital CFO Mark Long as finance chief, nearly two years after promising to replace David Weigand. He inherits a co-founder's indictment in an alleged $2.5 billion chip-smuggling case and a grand jury subpoena on internal controls.

Key figures: $2.5 billion of Supermicro hardware allegedly involved in the smuggling case against co-founder Liaw; $17.5 million Supermicro paid in 2020 to settle SEC charges against it and its then-CFO; $130 billion, Fortune's description of Western Digital, where Long was CFO.

What happened

  • Weigand will help with the transition and then shift to helping optimize and accelerate the business, Supermicro said.
  • Ting-Wei "Willy" Sun, a Supermicro contractor indicted with Liaw, pleaded guilty last week to four counts, including conspiracy to smuggle goods and violate export rules, court records show.
  • Liaw had left Supermicro in 2018 amid an audit committee investigation, just before an SEC probe, and came back as a consultant in May 2021.

Why it matters

  • Who's exposed exposure Long takes over a finance function that is answering a grand jury, the SEC, Commerce and foreign authorities, so his first statements on controls will be made under that scrutiny.
  • Who has to decide decision Weigand held the chief compliance officer title alongside CFO, and neither account of the appointment says who holds it now, so the board has to decide whether to recombine the roles.
  • What doesn't add up contradiction Supermicro describes Long's job as scaling AI growth, while the open government inquiries concern compliance and internal controls, and a CFO hire answers the first more easily than the second.

The December 2024 commitment was a response to a narrow set of findings. A board-level investigation, spurred by EY's abrupt resignation as auditor, held Weigand responsible for process lapses. As CFO and chief compliance officer, he was answerable for a consulting arrangement with the former CFO that EY was not told about, and the company committed to replacing him with a more experienced CFO [6]. Supermicro said it would "immediately" begin the search [2]. Long, who took over on Wednesday [1], was CFO and chief strategy officer of Western Digital, which Fortune describes as a $130 billion data storage company [3].

The questions Supermicro faces now are different ones. The Justice Department and FBI indicted and arrested co-founder Yih-Shyan "Wally" Liaw in March in a case alleging $2.5 billion of Supermicro hardware loaded with export-controlled Nvidia chips was illegally routed to China [7]. Supermicro is not named as a defendant and says it is cooperating [8]. It has disclosed a grand jury subpoena from the Southern District of New York that relates to the indictment and to its compliance program and internal controls, along with inquiries from the SEC, the Bureau of Industry and Security and foreign authorities [10]. The 2020 SEC settlement over improper revenue recognition cost Supermicro $17.5 million [17]; the hardware alleged to have been diverted is about 143 times that amount [22]. One is a fine and the other is cargo value, so the ratio is no estimate of what the company might owe.

Fortune wrote that Long's record is likely intended to "help clear the cloud that has hovered over Supermicro for the past two years and to burnish its credibility with skeptical investors" [23]. We think that is right about intent and optimistic about reach. The hire answers the 2024 findings, while the 2026 questions run on the prosecutors' calendar. Liaw's lawyer told the judge that documents Supermicro would give the government could be material to his defense, and the trial moved from November 2026 to March 2027 [11], a delay of four months [21].

The reporting line is the puzzle. Long answers to Charles Liang [4], who is married to fellow director Sara Liu [14]. Liaw rejoined that board in December 2023 and stayed until he resigned after his arrest [13], so he was a director when the search was promised. Liang said he was "confident Mark will have an immediate positive impact in strengthening and accelerating our operational and financial execution as we continue to scale our business to capture the next wave of AI and IT infrastructure growth" [15]. Of Weigand, Liang said the company was grateful for "his support of an orderly transition" [18].

The counter-case is Supermicro's own. It said in August that a second board-led investigation, opened after Liaw's arrest, found no evidence that current senior management knew of the scheme [9], and it says it ran an extensive search to find Long [16]. If the subpoenas close without action against the company, the hire will look like belated but sound housekeeping, and we will have read too much into the timing. We would also be wrong if Long ends up with the compliance remit and a reporting line that does not stop at Liang.

What to watch

  • Any SDNY, SEC or Commerce action naming Supermicro itself; that would cut against reading the hire as a clean-up that worked.
  • Whether the board gives Long the chief compliance officer title or names someone else, and whether that person reports outside Liang.
  • Whether Sun's plea or Supermicro's document production ahead of the March 2027 trial reaches current management, which would contradict the August internal finding.
