IonQ will pay up to $1.3 billion in stock for Elisity, a microsegmentation company
IonQ agreed to buy cybersecurity firm Elisity for up to $1.3 billion in stock, including up to $150 million in earn-outs. IonQ says the purchase opens enterprise and government channels for its quantum offerings.

Key figures: about 39.3 million new IonQ shares at $33.07 a share, or about 26.2 million at $49.61; up to $150 million in earn-outs tied to Elisity's performance; more than 100 Elisity customer deployments, IonQ said.

What happened
- The number of IonQ shares to be issued will be calculated at a price between $33.07 and $49.61 per share.
- Elisity was founded in 2019 and has more than 100 customer deployments, and IonQ says it has doubled its revenue and customer base year over year.
- Elisity describes its product as identity-based microsegmentation designed to contain lateral movement across networks, according to runtimewire.
- IonQ expects the deal to close in the fourth quarter of 2026, subject to regulatory approval.
Why it matters
- contradiction IonQ says the deal helps customers prepare for attacks from future quantum computers, but runtimewire puts microsegmentation in a separate category from post-quantum cryptography.
- cost Existing IonQ holders absorb the dilution: roughly 26.2 million to 39.3 million new shares if the full $1.3 billion is settled in stock at the endpoints of the range.
- exposure About $1.15 billion of the headline value is not an earn-out. The remaining $150 million, about 11.5%, depends on how Elisity performs.
Segmentation and encryption sit on different layers, and that decides how much of the quantum story this deal carries. Containing lateral movement limits what an intruder can reach after getting inside a network [11]. The threat IonQ's chief executive describes works on the cipher. "Q-Day is coming much faster than predicted," Niccolo de Masi said, referring to the point when quantum computers could break widely used encryption [7]. In our view, a policy that limits movement does little against an attacker who can read protected traffic without moving anywhere.
Bloomberg's stated aim, as relayed by runtimewire, is to expand IonQ's cybersecurity platform against AI-assisted attacks and emerging quantum threats [6]. We'd call that a platform thesis: one vendor, several security products, one set of buyers. For the channel argument to hold, the people who deploy Elisity would have to buy IonQ's quantum offerings through the same relationships. Elisity CEO James Winebrenner will continue to lead the business after the deal closes [10].
The price range is wide. The top of it, $49.61, is 1.5 times the bottom, $33.07, so the number of shares IonQ issues can differ by half depending on where the price lands [14]. IonQ did not disclose Elisity's revenue or how the price inside that range is set. Without revenue, the only measure of scale on offer is the deployment count.
What to watch
- Whether IonQ's closing documents or product announcements describe any post-quantum feature in Elisity's product.
- Where IonQ's share price falls inside the $33.07 to $49.61 range, since that sets the share count.
- Whether Elisity's revenue and the earn-out targets are disclosed before the fourth-quarter close.
