Five Korean groups are weighing a Westinghouse stake that Seoul Economic Daily prices at $2.8 billion

Samsung C&T, Hyundai E&C and Doosan Enerbility are weighing a 5% to 10% stake in Westinghouse, the Korea Herald and Seoul Economic Daily reported. Seoul Economic Daily put the cost near $2.8 billion, a price that depends on Westinghouse going public.

Korea's stake price rests on Westinghouse's IPO value Estimated Westinghouse IPO value, and the cost of a 10% stake (Seoul Economic Daily) and a 5% stake, each at a 10% discount to the offer price

Key figures: Westinghouse could be valued at as much as $30 billion if it goes public. A 10% stake bought at a 10% discount would cost about $2.7 billion, or roughly 3.7 trillion won. A 5% stake at that valuation and discount would cost about $1.35 billion.

What happened

  • The government first proposed that domestic nuclear EPC companies take part and is now coordinating each company's investment intentions and the size of its contribution.
  • Under the Korea-US agreement Korea can buy at a 10% discount to the offering price, so a 10% stake would still cost about $2.7 billion, or roughly 3.7 trillion won.
  • Samsung C&T and Hyundai E&C see a chance at construction work on the eight US reactors, while Doosan Enerbility is eyeing reactor and steam generator orders.
  • An SK official said: "It is true that there is active interest at the group level, but this is still under internal review and nothing has been finalized."

Why it matters

  • contradiction If SK leads, as the Korea Herald has it, the state utilities may keep little of the cost; if KEPCO and KHNP lead, as Seoul Economic Daily has it, the five are junior co-investors.
  • exposure A buyer paying 90% of the offer price is under water at cost once the shares trade below it, so the discount absorbs a 10% fall from the offer price and nothing beyond that.
  • constraint Officials judged that KEPCO and KHNP could not carry a 10% stake alone, so their share now depends on how much the private five commit.
  • decision SK has to decide whether to extend a $250 million small-reactor position into large reactors, the step Seoul Economic Daily says the new investment would allow.

Investment banking sources put Westinghouse's value at as much as $30 billion in a listing [4], and the Korea Herald gives the same figure for an IPO valuation [12]. Run that ceiling through the discount (which applies to an offer price that does not yet exist) and the range is narrower than the headline suggests. A 10% stake at $30 billion would cost $3.0 billion at the offer price [16], the discount takes $0.3 billion off that [17], and a 5% stake on the same terms would cost about $1.35 billion [18]. The paper's estimate of about 4 trillion won, or $2.8 billion [2], therefore sits at the top of that range and a little above it, because its own price for the full 10% is 3.7 trillion won [5]. The headline is 0.3 trillion won higher [19].

The two papers describe different structures. Seoul Economic Daily has private companies joining a government-led investment spearheaded by KEPCO and KHNP, with the aim of easing the burden on the state-run firms [21]. The Korea Herald, citing reports on Wednesday, says Samsung C&T, Hyundai E&C and Doosan Enerbility are among companies considering a consortium led by SK [22]. It describes the Korea-US agreement as already including a Korean private-sector consortium for the 5% to 10% [11].

In our view the cheque is an entry fee. The $2.8 billion is 2.3% of the $120 billion programme for eight US reactors [15], and Westinghouse works in large-reactor design, fuel and maintenance [14], so the contractors would be buying into a reactor designer. The reports do not say whether owning its shares improves a bidder's odds on any of the eight reactors.

SK is the counter-case. It put $250 million into TerraPower in 2022 [8] and cites AI data-center and semiconductor power demand [10], so for SK the shares themselves may be the objective.

We would drop the view if the eight reactors are awarded with no regard to who holds Westinghouse shares, since $2.8 billion would then buy a minority position and nothing else.

What to watch

  • A Westinghouse listing filing with a price range: a valuation below $30 billion cuts the stake cost under the $1.35 billion to $2.7 billion band computed here.
  • SK moving from an internal review to a stated amount, or any of the five naming a figure for its contribution.
  • A published split of contributions between KEPCO and KHNP and the private group, which would show whether Seoul Economic Daily's or the Korea Herald's structure is right.
