Formation's AI and defense credit pitch starts from $150 million of Loopscale deposits

Solana exchange Orca and lender Loopscale merged into Formation to finance AI, energy and defense firms on Loopscale's $2 billion lending record. ORCA stakers carry the first cost: a related proposal would cut their share of protocol fees from 40% to 10%, Cryptopolitan reported.

Apollo Global Management estimates that closing the AI infrastructure funding gap will take about $3 trillion of financing by 2028, Cryptopolitan reported [11]. Loopscale's own figures, more than $150 million of deposits and over $2 billion of loans facilitated [5], come to about 0.005% and 0.07% of that sum [24]. Put the other way, Apollo's gap is 1,500 times Loopscale's loan record [25]. Orca's $18 million Series A and Loopscale's $4.25 million round, both raised in 2021, add up to $22.25 million of disclosed venture funding [29].

Orca is the busier half. DefiLlama data cited by Cryptopolitan put its locked value at about $316.8 million and its 30-day volume above $8 billion [18], so its pools turned their deposits over roughly 25 times in a month [26]. Orca says it has processed more than $550 billion since 2021 [6]. Loopscale matches lenders and borrowers at fixed rates through an order book and added curated vaults in June 2026 [3]. Its FAQ says the combination lets an issuer launch an asset with trading and credit live from the start [2].

With financial terms undisclosed [4], the proposal before ORCA holders is the nearest thing to a price. Stakers' share of protocol fees would fall by three-quarters [27], and 14.2 million ORCA would move from the community treasury into a team-controlled Strategic Account earmarked for acquisitions [19]. At the $2.34 Cryptopolitan reported, after a drop of more than 16% since the news [21], the treasury transfer is worth about $33 million [28]. ORCA becomes the token for all of Formation, and Loopscale will not launch one of its own [14]. The Council scrapped the first vote, originally due to close on Oct. 10, citing trouble letting xORCA stakers take part [23]. Those are the same holders whose fee share is being cut [19].

The SEC relief is narrower than the pitch. The Sept. 17 order gives qualifying venues five years to trade tokenized National Market System stock through permissioned automated market makers without registering as exchanges [12]. It caps symbols and volume and covers tokens backed by real shares [13]. Those shares belong to companies that already have a public market [12]. Formation says its four target industries are served poorly by traditional markets [8], yet the order it is building on, as both outlets describe it, governs trading in listed stock. "Every major technological revolution has been paired with a financial one," Truitt said [15].

If Formation's partners bring assets that borrow against live Orca markets, the $2 billion loan figure [5] should grow by multiples within the 12 months set for issuer tools [7]. The tokenized-stock venue could instead become the main business, with the four target industries left as a sales line. Stakers could also reject the proposal, and then the fee split and treasury stay where they are [19]. I'd expect the venue outcome, because the trading half is the one with turnover today [26]. The case against that is Loopscale's fixed-rate order book [3]. Fixed-rate credit against a token that already trades is the product its FAQ describes [2], and Loopscale has $2 billion of facilitated loans behind it [5]. A named AI, energy or defense borrower drawing credit on Formation before the issuer tools ship would prove me wrong.

What to watch

  • Any announcement naming who will operate Formation's venue as a US person under the SEC relief, and which customers it will admit.
  • Updated deposit and loan totals from the merged company, the first evidence of whether credit demand follows Orca's trading volume.
  • What Loopscale points convert into later this year, and at what ratio, since ORCA is to be the only token.
