CFTC approves Coinbase's own clearinghouse for fully collateralized derivatives

Coinbase won CFTC registration on Sept. 28 for its own clearinghouse, licensed for fully collateralized futures, options on futures and swaps. Margined contracts, including planned single-stock perpetuals, still clear through outside partners.

Why it matters

  • capability For fully collateralized contracts, Coinbase can now take a product from listing to settlement inside its own affiliates, so a launch no longer depends on a third-party clearinghouse.
  • constraint Any change to how Coinbase's margined products are collateralized or settled, including the planned perpetuals, still has to go through an outside clearer.
  • exposure Coinbase Clearing's collateral will be a dollar token issued by Circle, a separate company, so settling at all hours depends on USDC tracking the dollar when banks are shut.

Under the registration, the required collateral must be posted for every product Coinbase Clearing handles [13]. A clearinghouse run on that rule holds the full value of each position up front, so it never guarantees more than the money posted against it. Margined business, where a clearer stands behind positions larger than the cash deposited, is outside the licence [2].

Molly Abraham, Coinbase's general counsel, described the approval as completing the company's "end-to-end derivatives infrastructure" [11]. For fully collateralized contracts the phrase is accurate, since listing, brokerage and clearing now all sit with Coinbase affiliates [6][1]. For a margined contract the chain still ends at somebody else's clearinghouse [3].

The exchange is older than Coinbase's ownership of it. The CFTC dates Coinbase Derivatives as a contract market to Nov. 23, 2020, when the business was LMX Labs LLC; it later ran as FairX, became Coinbase Derivatives after Coinbase acquired it, and took that legal name in December 2023 [7]. The clearing licence is one Coinbase applied for itself, and the CFTC took 318 days from filing to registration [1].

Coinbase calls the new entity the first USDC-native clearinghouse, a label from its own announcement that the CFTC registry does not use [5]. It did not name a contract that will move onto Coinbase Clearing or give a date for the first one [9].

One outcome is that the clearinghouse handles a small unleveraged book while most activity stays in margined products cleared by partners [3]. A second is a later application to widen the licence to margined business. The third is that continuous USDC settlement draws contracts built to be funded and settled at any hour, the use Coinbase says the model is for [14]. I think the first is likeliest in the near term, because the planned product the announcement names, US single-stock perpetuals, goes to outside partners [3]. Coinbase built a clearinghouse and routed its planned perpetuals around it. The view is wrong if Coinbase files to clear margined contracts itself, or if the contracts it moves onto Coinbase Clearing come to carry most of its US derivatives volume.
