UniCredit becomes at least the fourth bank to own a piece of Germany's Schuldschein venue

The Italian lender is buying distribution it would otherwise have to build, joining three banks that invested back in 2022, and VC Trade's founders keep control of the Frankfurt platform. No terms were disclosed.

Why it matters

Start with the throughput, because it is the only quantity anyone published. Crowdfund Insider reports that some accounts credit VC Trade with more than 600 completed transactions and over 90 billion euros of activity since it began operating, across a network of more than 1,600 banks and investors [6]. Divide the volume by the deal count and the average completed transaction is roughly 150 million euros [10], which is consistent with an instrument that sits between a classic bond and a bilateral loan [4]. The second ratio is thinner: 600 transactions against 1,600 registered participants works out at about 0.38 completed deals per participant over the platform's entire life [11].

UniCredit is at least the fourth bank on the register [12]. Helaba is both a shareholder from the 2022 raise and one of the arrangers on the City of Cologne Schuldschein that UniCredit worked on earlier this year [7][8]. An arranger outside that group is now placing mandates on a venue partly owned by competitors.

Terms were not disclosed [2]. The size of the holding, the implied valuation of VC Trade and the terms on UniCredit's right to increase its stake are all off the record [2][3]. So the strong version of this story, that European banks are taking control of Schuldschein origination, cannot be sized from what has been published: minority positions of unstated size, founders in control [9].

Sam Kendall, head of advisory and financing solutions, argued that the real friction is the expense of linking money with mid-market firms and public issuers that can use it productively, and said VC Trade's technology attacks that friction directly by making participants easier to find and processes less manual [14][15]. That sits inside the UniCredit Unlimited agenda, which treats fragmented European capital markets as a cost problem rather than a capital shortage [13]. VC Trade's chief executive, Stefan Fromme, called the investment a milestone and pointed to a shared bet on end-to-end digitisation, connectivity and artificial intelligence for every party in a deal [16].

What the bank is not doing is building the marketplace. On the account of the deal, UniCredit gains distribution reach without having to build a marketplace from scratch, while VC Trade gets a pan-European balance sheet and client base to take a German product set into more countries [18]. The equity purchase joins a run of small technology positions: a stake in blockchain financing specialist BlockInvest, the DealSync AI matching tool for SME mergers and acquisitions, and Italy's first tokenised minibond [19]. Germany remains a priority market for the corporate franchise while the group's interest in Commerzbank continues in parallel [20].

Bank ownership can pull standardisation forward, since the arrangers who set documentation practice now hold equity in the venue that standardises data and routes documents [22]. It can also do the reverse, with non-shareholder arrangers keeping flow on their own systems and the German franchise failing to travel. The condition set out in the source is adoption by other banks and how quickly mid-market issuers accept fully digital workflows [21]. The first place that registers is completed deals per registered participant, and that figure is currently under 0.4 [11].

What to watch
