PlantSwitch's fully sold $12,999,998 round works out to 26 cents per pound of rated capacity

Three investors bought the whole offering, with the first sale on July 6th and the filing on September 14th. The Sanford plant is designed for about 50 million pounds of resin a year. PlantSwitch has not published utilization.

What happened

  • PlantSwitch's Form D, filed September 14th, discloses a $12,999,998 offering with nothing left unsold, and records the first sale on July 6th.
  • Three investors bought the entire amount. The filing does not name them or disclose a lead, a valuation or a use of proceeds.
  • The Sanford operation covers roughly 50,000 to 52,000 square feet. It is designed for about 50 million pounds of annual resin capacity, according to North Carolina Biotechnology Center coverage.
  • Earlier financings include a $3.25 million seed in February 2022, $7.7 million in 2023 with NexPoint Capital participating, and an $8 million raise reported in February 2024 for the Sanford plant.

Why it matters

Divide the offering by the plant's 50 million pound rating and it comes to about 26 cents per pound of annual capacity [22]. The Sanford plant already exists [15]. That is working-capital scale for a factory that is standing: material to buy and trial runs to pay for.

Rated capacity is a design figure. PlantSwitch has not published utilization, revenue or gross margins [16]. For 50 million pounds rated to become 50 million pounds shipped, the runtimewire account names what has to go right: production scale, yield, feedstock consistency and customer qualification [18]. Feedstock consistency is the item specific to this business. Rice hulls and wheat straw are harvest products [8], and a process tuned to one composition has to hold its yield on the next load.

The compatibility claim is the part I would read the spec on before the press release. A compostable material that requires new production lines adds a layer of cost and execution risk, so PlantSwitch asks manufacturers to change the input material and keep much of the installed equipment [10]. That takes capex out of the buyer's decision. It leaves the qualification work with the buyer, and qualification is on the list of four things that decides whether the resin competes at all [18].

Three buyers taking the whole amount averages about $4.33 million each [23]. The first sale was July 6th; the filing went in 70 days later [24]. The total came in at $12,999,998, two dollars under $13 million [26].

The three earlier financings add to $18.95 million [25]. The available accounts leave open whether each figure is a separate pool of capital [14]. Runtimewire describes the September document as a distinct 2026 offering with its own first-sale date and three investors [21]. The Form D lists a Miami address, while the manufacturing operation remains associated with Sanford [17].

What the founders are running is an integrated materials operation: resin plus finished foodservice products [7]. Dillon Baxter and Maxime Blandin met as golf teammates at Southern Methodist University [20], and their first product was an agave straw they sold door-to-door to restaurants in Dallas [19].

What to watch

  • An amended or follow-on filing that names the three investors, or a fourth investor joining the same offering.
  • Any published shipped-pounds or utilization figure for Sanford to set against the 50 million pound rating.
  • A named converter saying publicly that it qualified CompostZero on its existing lines.
